Terms of Service

1. Agreement
These Terms of Service govern the relationship between Spanish SEO Agency S.L. (“Agency”) and the client (“Client”) for SEO and related digital marketing services. By engaging our services or using our website, you agree to these terms.
2. Services
The Agency provides search engine optimization services including but not limited to: technical SEO audits, keyword research, on-page optimization, content strategy, link building, and local SEO for Spanish-speaking markets. Specific deliverables, timelines, and scope are defined in individual service agreements or proposals.
3. Client Responsibilities
- Provide timely access to website backends, analytics, and search console accounts
- Approve content and strategy recommendations within agreed timeframes
- Ensure all provided materials do not infringe third-party intellectual property
- Notify the Agency of any website changes that may affect SEO performance
4. Performance Disclaimer
SEO results depend on numerous factors outside the Agency's control, including search engine algorithm updates, competitor activity, and website technical infrastructure. While we apply industry best practices and data-driven strategies, we do not guarantee specific ranking positions, traffic volumes, or conversion rates.
5. Intellectual Property
Content created by the Agency during the engagement becomes Client property upon full payment. The Agency retains the right to use anonymized case study data and general methodology descriptions for marketing purposes, unless otherwise agreed in writing. Pre-existing Agency tools, frameworks, and templates remain Agency property.
6. Confidentiality
Both parties agree to maintain confidentiality of proprietary business information, analytics data, strategy documents, and trade secrets shared during the engagement. This obligation survives termination for a period of three years.
7. Payment Terms
Payment terms are specified in individual service agreements. Unless otherwise stated, invoices are due within 30 days of issuance. Late payments may incur interest at the rate permitted under Spanish law. The Agency reserves the right to suspend services for overdue accounts.
8. Termination
Either party may terminate the agreement with 30 days written notice. The Client remains responsible for payment of services rendered through the termination date. Upon termination, the Agency will provide all deliverables completed to date and assist with reasonable transition of access credentials.
9. Limitation of Liability
The Agency's total liability shall not exceed the fees paid by the Client during the twelve months preceding the claim. The Agency is not liable for indirect, consequential, or incidental damages including lost revenue or profits.
10. Governing Law
These terms are governed by the laws of Spain. Any disputes shall be submitted to the exclusive jurisdiction of the courts of Madrid, Spain.
